Preamble Being a Friend of the Alexander Langer Stiftung Foundation ETS means sharing its values and vision, actively participating in its initiatives and contributing to their conception and organization by promoting and spreading the Foundation's founding vision and values. These regulations come into effect from February 18, 2025 and contain the requirements necessary for admission to the register of Friends, the rights, obligations and methods of participation of Friends in the life and activities of the Foundation, taking into account that the Assembly of Friends is one of the Foundation's governing bodies.
Article 1 – Definition Pursuant to Article 13 of the Foundation's Statute, Friends are private individuals, entities and associations, public and private institutions that contribute to increasing the assets. In particular:
those who have contributed with their one-time donation to the Foundation's initial fundraising
those who contribute to increasing the Foundation's assets
those who, through particularly significant collaborations or by providing material or immaterial assets, have contributed or contribute to the Foundation's development and have been declared a Friend by the Board of Directors (hereinafter BoD).
Article 2 – Application for membership and admission procedure To be admitted as a Friend of the Foundation, one must:
have reached the age of majority
have submitted an application for membership, in which one subscribes by acceptance to the regulations, the Foundation's Statute and authorization for personal data processing; the application form template, drafted and approved by the BoD, is an integral part of these regulations and can be downloaded from the Foundation's website. The decision on accepting the membership application is made by the BoD with a resolution adopted by absolute majority. The decision, made at the first useful BoD meeting, must be communicated to the applicant within 30 days from the date of the resolution. The qualification as Friend takes effect from the day following the monetary payment of the fee established by the BoD for the year in which the request is made. The relevant minutes of acceptance or rejection must be kept at the Foundation's headquarters.
Article 3 – Amount of contribution – annual fee Each year, in the session approving the budget forecast, the BoD confirms or modifies the amount of contribution required to acquire the qualification of Friend of the Foundation. The amount of the fee to be paid to become a Friend of the Foundation is determined annually by the BoD by December 31st, is valid for the following year and is published on the Foundation's website. The fee for the year must be paid by March 31st and, in any case, by the date of convocation of the annual Assembly of Friends of the Foundation. For those requesting admission during the year, the fee must be paid within 30 days from communication of admission to the qualification of Friend. Friends who are not up to date with payment of the annual fee may participate in the Assembly, as per Article 6, but do not have voting rights. The fee must be paid by credit to the Foundation's bank account or other traceable methods.
Article 4 – Register of Friends of the Foundation Individuals or entities or associations who have been granted the qualification of Friend of the Foundation are registered in a special Register of Friends kept at the Foundation's headquarters. The Register contains the title by which one became a Friend and the fees paid. It also collects authorization for personal data processing.
Article 5 – Assembly of Friends of the Foundation Friends, regularly registered in the Register referred to in the previous article, have the right to participate in the Assembly of Friends which, pursuant to Article 14 of the Statute, is convened and presided over by the President at least once a year. The convocation must arrive at least 30 days in advance and, in case of BoD renewal, at least three months before its natural expiration. Pursuant to the current Statute, the Assembly of Friends is a Foundation Body that can express non-binding opinions on the Foundation's programs, on regulations for awarding prizes and scholarships, on the appointment and revocation of the Scientific and Guarantee Committee and other committees. It may also express opinions, always non-binding, on admission to the Register of Friends and Supporters as well as on the Foundation's dissolution. The Assembly may finally elect two representatives to the Foundation's BoD without voting rights, however. It is validly constituted regardless of the number of participants and its resolutions are taken by majority of those present. Minutes must be kept in the book of meetings and resolutions of the Assembly.
Article 6 – Loss of Friend qualification Friends of the Foundation lose their title due to voluntary resignation, failure to pay the annual fee established by the BoD, death, conduct contrary to statutory norms or Foundation regulations, but especially for conduct in contrast with the Foundation's purposes. Friends may withdraw from the Foundation at any time by giving notice to the Foundation's Presidency. The BoD takes note of the reasons leading to loss of qualification and deliberates accordingly.
